By accessing or using the website located at ilumi-seo.com ('Website') and any services provided by ilumi Technologies Ltd ('ilumi', 'ilumi SEO', 'we', 'our', or 'us'), you agree to be bound by these Terms and Conditions.

By submitting a request, purchasing services, or providing access to any website, domain, platform, or digital asset, you confirm that you have the legal authority and permission to do so.

If you do not agree with any part of these Terms and Conditions, you must not use our Website or services.

These Terms apply to all visitors, users, customers, and clients of ilumi Technologies Ltd.

2. Eligibility and Authorisation

By using our Website, engaging with us, or requesting our services, you confirm that:

3. Service Descriptions

3.1 Bespoke Website Design and Development, Website Hosting and Management, Related Website Services

The specific scope of work for each project will be detailed in a separate quotation, proposal, statement of work, or agreement provided before work commences. Unless otherwise agreed in writing, these Terms and Conditions shall continue to apply to all website-related services provided by ilumi Technologies Ltd.

3.1.1 Client Responsibilities
You agree to provide all content, feedback, approvals, materials, assets, login credentials, and information required for us to deliver the agreed services within the agreed timeframe. Failure to provide required materials, access, approvals, communication, or attendance at scheduled approval or review sessions within a reasonable or agreed timeframe may result in project delays, suspension of work, revised delivery timelines, or additional charges. Any applicable delay fees, rescheduling fees, missed session charges, or extended project management charges shall be outlined within the relevant quotation, proposal, scope of work, or service agreement. Clients will be provided with reasonable reminders and notice before such charges are applied. ilumi Technologies Ltd shall not be held responsible for delays, missed deadlines, or additional costs arising from the client’s failure to provide required information, assets, approvals, feedback, communication, or access within the agreed timeframe.

3.1.2 Client Materials and Lawful Use
You confirm that all content, data, branding materials, images, and assets provided to us are lawful, accurate, and do not infringe any copyright, trademark, intellectual property, privacy, or third-party rights.

3.1.3 Timely Communication and Approvals
You agree to provide feedback, approvals, requested information, and responses within reasonable or agreed project timeframes. Delays in communication or missing materials may affect delivery timelines and result with additional charges.

3.1.4 Access to Third-Party Services
Where required, you agree to provide access to hosting accounts, domain registrars, CMS platforms, DNS settings, analytics platforms, email systems, advertising accounts, and related third-party services necessary for project completion or ongoing management.

3.1.5 Quotations, Deposits and Payments
All quotations are valid for 30 days from the date of issue unless otherwise stated. Quotations are based on the information provided to us and may be subject to change if the project scope changes. Website projects typically require a 50% deposit before work begins, with the remaining 50% due upon completion, before the website goes live. Alternative payment arrangements may be agreed in writing. All invoices, deposits, recurring fees, and agreed charges must be paid by the due dates stated on the relevant invoice or agreement.

3.1.6 Revisions
Projects include a reasonable number of revisions as outlined within the relevant quotation or proposal. Additional revisions or amendments beyond the agreed allowance may incur additional charges.

3.1.7 Scope Changes
Changes or additions to the agreed scope of work, including additional pages, functionality, integrations, features, or redesign requests, may require a revised quotation and adjusted project timeline.

3.1.8 Intellectual Property
Upon receipt of full payment, ownership of custom-developed website deliverables created specifically for your project shall transfer to you unless otherwise agreed in writing. When using any third-party software, plugins, themes, frameworks, stock assets, and licensed materials remain subject to their respective licences and ownership rights.

3.1.9 Portfolio Rights
Unless otherwise agreed in writing, we reserve the right to display completed projects, designs, and related work within our portfolio, case studies, social media, and marketing materials.

3.1.10 Hosting Acceptable Use
Websites hosted by us must not contain unlawful content, malware, phishing systems, malicious code, defamatory material, or content that infringes third-party rights.

3.1.11 Hosting and Backups
Where websites are hosted on infrastructure managed by ilumi Technologies Ltd, we may perform routine backups in accordance with the specific hosting or maintenance agreement in place with you. Backup frequency, retention periods, and recovery availability may vary depending on the hosting or support package purchased. Where third-party hosting providers or external platforms are used, you remain solely responsible for maintaining and verifying your own backups unless otherwise agreed in writing. We do not guarantee the availability, integrity, or successful recovery of backup data and accept no liability for any loss of data, corruption, downtime, or recovery failure caused by third-party services, cyberattacks, software failures, user error, hosting failures, or circumstances outside our reasonable control.

3.1.12 Maintenance Services
Website maintenance services only include the services specifically outlined within your agreement or proposal. Unless otherwise agreed in writing, maintenance services do not include major redesigns, new functionality, extensive content uploads, or recovery work caused by third-party interference, hacking incidents, or unsupported modifications.

3.1.13 Limitation of Liability
To the fullest extent permitted by law, ilumi Technologies Ltd shall not be liable for any indirect, incidental, consequential, special, or economic loss, including loss of profits, business opportunities, revenue, goodwill, or data. Our total liability relating to website-related services shall not exceed the total amount paid by you for the relevant services during the twelve (12) months preceding the claim.

3.1 Optimal Website Audit

ilumi offers an Optimal Website Audit service. Your website is scanned by our automated technology, covering the number of webpages included in the plan you chose. The ilumi team then reviews the collected data and your website, putting it into context to provide meaningful insights and expert recommendations.

You will receive the results for the provided domain at the email address you supplied during checkout. We share a user-friendly, secure report link that will be active for 90 days. Please refer to our privacy policy for more details.

We will remind you before the report link expires. You may request an extension if needed, but we reserve the right to decline such requests.

You choose your plan based on your website's size and needs, process the payment, and then receive a confirmation email. After that, you gain access to a link where you can submit your website for review and track the progress.

We aim to deliver the secure result link within 2 to 4 business days. In case of high demand or technical complexity, we may extend this timeframe and will contact you accordingly.

Please ensure your website is appropriate and publicly accessible before using this service. We do not access any pages that are behind login screens or not publicly available — just like anyone else, our service cannot audit restricted content.

If any sensitive information is publicly accessible on your website, it is your responsibility to secure it. We may flag such issues in the report to help you address them.

An ilumi team member will review your site and leave comments; however, we do not provide ongoing support beyond the initial audit delivery. This is a one-time audit service unless you purchase additional services.

3.2 Automation Services, Custom Software, Custom Audits, and Solutions Development

ilumi offers custom automation services, software development, crawler solutions, and bespoke SEO solutions tailored to your specific needs. These services are provided according to terms outlined in a separate agreement discussed and agreed upon after both parties have decided to work together.

The separate agreement will specify deliverables, timelines, payment schedules, intellectual property rights, refund policies, support terms, and any other project-specific conditions. The general terms outlined in this document apply except where specifically superseded by the custom service agreement.

3.3 Consulting Services

Our consulting sessions are conducted via video calls, during which we discuss the topics you made booking for. To arrange these sessions, we collect your contact email and any information you choose to share. We use this data solely to schedule the call and provide any agreed follow-up materials. Data related to consulting is stored securely and deleted 90 days after the session ends.

Neither you nor our team members are required to share video during the call. Recording, taking screenshots, or taking photos during any video calls or consulting sessions is strictly prohibited to protect everyone's privacy.

For sessions involving analytics or advertising platform access, if you grant us temporary access to your tools, we delete all access credentials promptly once the session concludes, ensuring your data remains secure. Unless the consultation is a part of our ongoing engagement.

Our consulting service is designed as a focused engagement; ongoing support is not included unless separately arranged and paid for.

3.4 General Service Terms

All services are subject to availability. We reserve the right to refuse service or terminate service delivery if we determine that the domain or request violates these terms or applicable laws.

4. Prohibited Use

You must not request any ilumi service for websites you don't own or operate without explicit permission from the website owner. Websites such as social media platforms (e.g., Facebook, Instagram, TikTok), websites with explicit or illegal content, and websites that violate applicable laws are blocked and not available for ilumi's services.

You may not use ilumi's services to harm, harass, or gain unauthorized access to third-party websites or systems. Any use of our services for malicious purposes, including but not limited to competitive sabotage, data theft, or security testing without permission, is strictly prohibited.

5. Privacy

Please refer to our Privacy Policy for how your data is handled. For audit services, data is session-based and never tied to your name, email, or domain for extra privacy. For other services, data handling practices are outlined in our Privacy Policy and any applicable service-specific agreements.

6. Accounts and Payments

No user accounts are required for standard one-time services. We do not store any personal or card information. Payments for Optimal Audit are handled via Stripe and are subject to their terms.

For business clients requiring tailored invoicing or ongoing services, we issue invoices upon request. Payment terms will be clearly outlined in the invoice or service agreement.

For ongoing services (such as automation subscriptions), payment is required according to the agreed schedule. Failure to maintain payment may result in service suspension or termination.

7. Intellectual Property

All branding, visual identity, logos, trademarks, graphics, website design, written content, proprietary materials, and other intellectual property displayed on ilumi-seo.com or used in connection with ilumi Technologies Ltd services remain the property of ilumi Technologies Ltd unless otherwise stated. No part of our branding, website design, content, graphics, case studies, or proprietary materials may be copied, reproduced, republished, modified, distributed, or used without our prior written permission.

Intellectual property ownership, licensing rights, usage rights, and deliverables shall be determined by the specific scope of work, quotation, proposal, or written agreement relating to the relevant project or service.

Unless otherwise agreed in writing, ilumi Technologies Ltd retains ownership of all proprietary systems, frameworks, methodologies, processes, templates, tools, automation systems, non-client-specific code, internal development assets, reporting systems, and reusable technologies used in the delivery of services.

For avoidance of doubt, the “Optimal Audit” report platform, including its underlying systems, methodologies, scoring mechanisms, automation processes, software, interface design, reporting structure, and associated intellectual property, remains the sole and exclusive property of ilumi Technologies Ltd unless explicitly stated otherwise within a written agreement.

ilumi Technologies Ltd retains the unrestricted right to use general methodologies, frameworks, know-how, techniques, concepts, and non-client-specific code in future projects and services.

You may not reproduce, resell, redistribute, sublicence, publicly share, reverse engineer, copy, modify, or commercially exploit ilumi reports, systems, methodologies, proprietary tools, software, or deliverables without prior written permission from ilumi Technologies Ltd.

8. Limitation of Liability

We are not responsible for any damages resulting from use or misuse of the service. The service and access to the Optimal Audit platform are provided "as is," with no warranties, express or implied.

ilumi is not liable for any loss of revenue, data, rankings, or business opportunities resulting from following our recommendations or using our services. Our audits and recommendations are advisory in nature.

For automation and custom development services, ilumi is not responsible for issues arising from your implementation, your hosting environment, third-party integrations, or modifications made after delivery.

Our total liability for any claims arising from our services shall not exceed the amount you paid for the specific service in question.

9. Termination of Access

We reserve the right to suspend or restrict access to the platform and refuse service delivery if these terms are violated, if payment is not received, or if we determine that continuing service would violate applicable laws or our ethical standards.

For ongoing services, either party may terminate with written notice as specified in the service agreement. Upon termination, you remain responsible for payment of services rendered up to the termination date.

10. Modifications to Terms

These terms may change at any time. We will notify existing customers of material changes where reasonably possible. Continued use of the service after changes are posted means you accept the updated terms.

For ongoing service contracts, significant term changes will be communicated directly, and you will have the opportunity to terminate the service if you do not accept the new terms.

11. Data Export and Sharing

If you export the results of an audit, download reports, or save shareable links, it is your responsibility to protect that information appropriately and in compliance with applicable data protection regulations.

Shareable report links expire after the stated period (typically 90 days for audits). Access links, reports, or any documentation should not be shared with unauthorised parties.

For custom crawlers and automation solutions, any data collected or generated is your responsibility. Ensure your use complies with GDPR, UK DPA 2018, and other applicable privacy regulations.

12. Refund Policy

Refund terms vary depending on the type of service purchased and are governed by the applicable quotation, proposal, or service agreement. By engaging our services, you agree to the refund terms set out below.

Website Audit Services (including Optimal Audit and other audit products)
All website audit services are strictly non-refundable. This includes, but is not limited to, the Optimal Audit and any other website audit, SEO audit, technical audit, or performance audit services provided by ilumi Technologies Ltd.

These services involve professional analysis, research, evaluation, and preparation of insights, which begin immediately upon purchase. As such, once an audit has been purchased, no refunds will be issued under any circumstances, including dissatisfaction with findings, interpretation of results, or perceived value.

Before purchasing any audit service, you are responsible for ensuring that your website is publicly accessible and not restricted by login requirements, IP restrictions, firewall rules, or other access limitations. We accept no liability for incomplete or limited audit results caused by inaccessible or restricted websites.

Website Design and Development Services
Website design and development projects are delivered in defined stages, with client review and approval required at each stage. Once a stage has been approved, it is considered accepted and signed off.

Approved work cannot be reversed, recalled, or refunded. Any changes requested after approval may be treated as a variation to scope and may incur additional charges and revised timelines. Refunds are not available for work that has been completed, approved, or delivered.

Custom Software and Bespoke Services
For custom software development, automation systems, and other bespoke services, refund terms are defined on a project-by-project basis and will be set out in the relevant quotation, proposal, or written agreement. In the absence of a specific refund clause, all payments are non-refundable once work has commenced, resources have been allocated, or access to systems has been provided.

General Terms
ilumi Technologies Ltd does not offer refunds for time, expertise, consultancy, analysis, or digital services already performed. Any exceptions to this policy must be agreed in writing by ilumi Technologies Ltd prior to commencement of work.

13. Compliance and Legal

ilumi operates in compliance with EU GDPR, UK Data Protection Act 2018, and other applicable regulations. By using our services, you confirm that your use complies with all applicable laws in your jurisdiction.

You are responsible for ensuring that any data you provide or any websites you submit for audit comply with applicable privacy laws, copyright laws, and terms of service of third-party platforms.

14. Dispute Resolution

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or use of ilumi's services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage users to contact us first to resolve any concerns or disputes amicably before pursuing legal action.

15. Warranties

We warrant that: Services will be provided with reasonable care and skill.

16. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of war, terrorism, pandemics, internet outages, or government actions.

17. General Provisions

Entire Agreement: These terms, together with any quotation or proposal, constitute the entire agreement between us.

Severability: If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Failure by either party to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign, transfer, or subcontract these Terms or any of your rights or obligations without our prior written consent.
